1. Acceptance of terms

By creating an account or using SubmittalFlow (“the Service”), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including free-tier and paid subscribers.

2. Description of service

SubmittalFlow is a web-based tool that uses AI to extract specifications from manufacturer PDF documents and generate formatted submittal packages for the US construction industry. The Service is provided on an “as-is” basis and is intended for professional use by subcontractors and construction professionals.

3. Account registration

  • You must provide a valid email address to create an account.
  • You are responsible for maintaining the security of your account.
  • One person or legal entity may not maintain more than one free account.
  • You must be at least 18 years old to use the Service.

4. Free tier and paid plans

  • Free accounts are limited to a set number of submittal extractions as shown on the pricing page.
  • Paid subscriptions unlock unlimited submittals and are billed on a recurring monthly basis.
  • Subscription fees are non-refundable except where required by law.
  • We reserve the right to change pricing with 30 days' notice to existing subscribers.
  • Failure to pay will result in your account being downgraded to the free tier.

5. Acceptable use

You agree not to:

  • Upload files that contain malicious code or that you do not have the right to process.
  • Attempt to reverse-engineer, scrape, or abuse the Service's AI infrastructure.
  • Use the Service for any unlawful purpose or in violation of any regulations.
  • Share your account credentials with others or resell access to the Service.
  • Attempt to circumvent the free tier limits through multiple accounts.

6. AI extraction accuracy

SubmittalFlow uses AI to extract specifications from uploaded documents. Extracted data may be incomplete, inaccurate, or missing. You are solely responsible for reviewing all extracted specifications before including them in a submittal package submitted to a general contractor or owner. SubmittalFlow is a productivity tool, not a replacement for professional review. We make no warranty that extracted data is correct or complete.

7. Your content

You retain ownership of all files you upload and documents you generate. By uploading files, you grant us a limited license to process them solely for the purpose of providing the Service. We do not claim any ownership over your content and do not use it to train AI models.

8. Intellectual property

The SubmittalFlow platform, including its design, code, and branding, is owned by us and protected by applicable intellectual property laws. You may not copy, reproduce, or create derivative works from any part of the platform without our written permission.

9. Limitation of liability

To the maximum extent permitted by law, SubmittalFlow and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to errors in extracted specifications, loss of data, or business interruption. Our total liability to you for any claim arising from use of the Service shall not exceed the amount you paid us in the three months preceding the claim.

10. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms or for any other reason, with or without notice. You may cancel your account at any time by contacting us. Upon termination, your data will be deleted in accordance with our Privacy Policy.

12. Governing law

These terms are governed by applicable law. Any disputes arising from these terms or your use of the Service shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration or the courts of competent jurisdiction.

13. Changes to terms

We may update these terms from time to time. We will notify active subscribers of material changes by email. Continued use of the Service after changes are posted constitutes acceptance of the updated terms.
